Steel Skinz Shop - Customer Agreement

This document defines the terms and conditions of our working relationship. Please read them carefully. By requesting us to perform services and produce products for you, you are agreeing to this document without modification. You are responsible for reviewing our customer agreement prior to submitting a purchase or special order request. By Purchasing form Steel Skinz Graphics you must agree to the following terms.

PLACING AN ORDER | PURCHASING | PAYMENT

Please always double check the contents of your shopping cart before checking out. Once your order has been finalized, we cannot modify, remove, add or cancel items.

Customers should always check their spelling. We produce orders exactly as we receive them so any typos submitted will be on the final product. Corrections must be made by the customer before the order is submitted.

We accept cash, money orders, cashier checks, debit and credit cards. We revise the right to require company checks in payment of large orders. A fee of $35.00 will be charged for returned checks, in addition to amount due. Purchases made by credit card will show Steel Skinz Graphics as the vendor.

SHIPPING

All items purchased from Steel Skinz Graphics are made pursuant to a shipment contract. All orders are shipped in a timely manner as stated on our “shipping” page. We are not responsible for damages or loss incurred during shipping. Insurance for your shipment is optional and available. We will ship to the address provided with your placed order under “ship to address” (not your paypal address) Once your order is placed we cannot modify shipping information.

REFUND | RETURNS

All products purchased are custom manufactured or cut to the customers submitted specifications and are not returnable or exchangeable.

CREDIT CARD FORCED REFUND / CHARGE-BACK POLICY: All credit card issues and / or disputes on products or services purchased by your credit card authorization from us shall be dealt with between you and us. By agreeing to these terms and conditions, you agree to never charge-back a purchase for any reason.

WARRANTY | LIABILITY

Our workmanship and quality follow the general industry standards. We warrant that our products meet industry standard. We will not be held liable for the surfaces to which our products are applied or installation errors. We make no other warranties, and no actions or words of our officers, employees or agents shall constitute a warranty.

WARRANTIES: We make no warranties or guarantees in regard to accuracy of your submitted files. We are not responsible for damages or loss of revenue that may result from delays in shipping or production. Any of the above limitations which do not apply to your state's jurisdictions, in part or in whole, do not void this document.

ART WORK | ART FILES | PROOFS

PRINT-READY FORMAT: All work undertaken is under the condition that a complete, high-resolution file is supplied, complete with a color proof, pantone references, and exact measurements and specifications. Where artwork is supplied by you, it is your responsibility to ensure the artwork is in a “print-ready” format. It is the responsibility of your designer to check the dimensions and layout of the actual project(s). Please review our Artwork Requirements on www.steelskinz.com.

PROOFS: Before production can begin, it is essential that you review and approve the proof we provide of your job. All approvals must be in writing, returned to us marked “O.K.” or "Revised Proof Required" signed by you. WE WILL NOT ACCEPT VERBAL APPROVALS. If proofs are waived, we are not responsible for undetected errors.

EXACT COLOR MATCHING: There will be a difference between what you see on your computer screen and what is produced. The differences are caused by a variety of reasons, such as paper type, ink, equipment, etc. We will perform our production work as determined by generally accepted trade technical methods. We do not guarantee an exact color match to art submitted. If art is submitted as any color mode other than CMYK, it will be converted to CMYK. We are not responsible for color shifts if original work has not been submitted properly. Credit or refund will not be given for non-matching colors or shifts. Please review our Artwork Requirements on www.steelskinz.com for suggestions on how to get the best color for work submission. Inkjet and laser prints will look different than offset printing, and different from wide format printing. We will produce pleasing colors using standard ink densities. The finished product quality will be the best we can produce according to our equipment abilities.

PRINT-READY PROOFS: We charge a fee for pre-printing of proofs Jobs that require specialty printing and / or your pre-approval (including digital files, etc.) are paid in advance.

FILE TYPE: Refer to our Artwork Requirements on www.steelskinz.com for preferred file types. It is your responsibility to provide or purchase quality, high-resolution images for large-format printing. We will not be held responsible for low-resolution images provided by you for printing. We can purchase high-resolution images for you, and an additional charge will be added to the balance of the project.

ACCURACY OF SPECIFICATIONS: Items/Orders are based on the accuracy of specifications provided to us by you. If we discover after accepting a digital file that there are corrections or modifications needed, we will notify you immediately, at which time a decision will be made whether there will be additional costs and how you wish us to proceed. We make every effort to produce a job accurately; but in the event of unforeseen circumstances or costs, we will notify you if delays will result.

ERRORS AND OMISSIONS: It is your responsibility to carefully study the proofs carefully for accuracy in all respects, ranging from spelling to technical illustrations, before authorizing work to begin. Your signature or that of your authorized representative is required on all artwork prior to release for printing or production. You are responsible for all costs incurred due to any design changes after the proof has been approved and signed. Charges may include, but are

CONTENT: We reserve the right to refuse inappropriate submissions, as determined by us.

COPYRIGHT

COPYRIGHT: According to copyright law (viewable online at www.copyright.gov), the rights to all design and artwork, including but not limited to photography and or illustration created by independent photographers or illustrators retained by us, or purchased from a stock agency on your behalf, remain with the individual designer, artist, photographer or illustrator. It is your responsibility to verify that your images are legally reproducible and that you have in your possession written approval of respective owners. Unless a purchase of “All Rights” (A Buyout) is negotiated with us and / or our authorized representative, you may not use or reproduce the design or the images therein for a purpose other than the one(s) originally stipulated. If you wish to use the design we have created and / or the images within it for another purpose or project, including a reprint or exhibition, you must contact us to arrange the transfer of rights and any additional fees before proceeding. If printing or other implementation is done through your vendors, you agree to return to us all our original mechanicals and artwork (slides, prints, drawings, separations, etc.) within two (2) weeks, and to provide us with printed samples of each project.

INDEMNIFICATION: You declare that you hold the legal copyright and / or trademark permissions for any text, images and / or data supplied to us, and that you have the legal right to produce or reproduce all printed materials ordered from us. By supplying images, text, or any other data to us, you grant us permission to use this material freely in the pursuit of the design. In the event that a charge, claim or demand, or arbitration, action or proceeding (collectively, a “Claim”) is made or commenced against us based upon, relating to or arising from the alleged wrongful acts of you, or alleging that the printing performed or product produced by us that was ordered by you: (a) infringes any copyright, patent or other proprietary right of any person; or (b) contains matter that is libelous, slanderous, defamatory, scandalous or obscene, then you shall indemnify and hold us and our employees, partners, affiliates, subsidiaries, and suppliers harmless from and against any loss, damages, liability, cost and expense arising from or related to the Claim including without limitation: (a) defending us against any such Claim; (b) paying any judgment or award against you; and (c) reimbursing us for any legal fees and expenses we reasonably incur in responding.

PRIVACY

PRIVACY STATEMENT: We will not share or sell any information that has been gathered during order processing with anyone. We use our customer information in house, for the sole purpose of order fulfillment.

We reserve the right to photograph and / or distribute or publish for our firm’s promotional and marketing needs any work we create for you, including mock-ups and comprehensive presentations, as samples for our portfolio, newsletter, brochures, slide presentations and similar media.

ADDITIONAL TERMS

RIGHT TO USE ARTWORK / PRODUCTS: We and our affiliates have an unrestricted license to use / display / reproduce / modify / transmit and distribute information and designs given to us by you to the extent permitted by Law. We reserve the right to use photos of your artwork / products as samples of our work we have completed for use in advertising media including, but not limited to, our brochures, signage, website, etc. We will not sell images or information given to us by you unless prior written consent has been given. We also reserve the right to use your printed products for samples or promotional advertising purposes.

CHANGES TO OUR CUSTOMER AGREEMENT:We reserve the right to change, modify, add or remove portions of our customer agreement without notice, and any changes will become effective immediately upon being posted unless we state otherwise. This policy was last changed on November 1 2011. The validity and enforceability of this agreement will be interpreted in accordance with the laws of the State of Michigan applicable to agreements entered into and performed in the State of Michigan. This agreement is our entire understanding and may not be modified in any respect except in an executed agreement. If we must retain attorneys to collect our invoices, we will be entitled to reasonable attorney’s fees, court costs, and interest at the maximum rate permitted by law.

DISCLAIMER

Unless otherwise stated in writing, the content, services, calculations, information, products and materials on or available through this web site are provided “AS IS” and without warranties of any kind, wither express or implied. To the fullest extent permissible under applicable law, Steel Skinz Graphics disclaims all warranties, express or implied, including but not limited to all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. The content, services, calculations, information, products and materials on or available through this website could include inaccuracies or typographical error and could become inaccurate because of developments occurring after their respective dates of preparation or publication. Steel Skinz Graphics has no obligation to maintain the currency or accuracy of any content, services, calculations, information, products or materials on or available through this website.

You acknowledge and agree that Steel Skinz Graphics is not, and shall not be responsible for the results of any defects that may exist in this website or its operation. As to the operation of this website, Steel Skinz Graphics expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. Steel Skinz Graphics makes no representation or warranties that A.) The operation of this website will meet you or any other user’s requirements; B.) Access to the website will be uninterrupted, timely, secure and free or errors, viruses or other harmful components; or C.) Any defects in this website will be correct. You agree that you, and not Steel Skinz Graphics will bear the entire cost of all servicing, repair, correction or restoration that may be necessary for your data, software programs or computer equipment because of any viruses, errors or other problems you may have as a result of using or visiting this website.
